Governing platform access, tenancy lease generation, digital signature enforceability, FTA VAT 5% tax invoicing, and cloud availability for UAE business centers.
Agreement Overview
These Terms of Service ("Agreement") constitute a legally binding agreement between Hai Technologies LLC ("Licensor", "We", "Us") and the commercial business center operator, tenant, or authorized administrator ("Licensee", "User", "You") accessing the iPulsey ERP platform (`/app`). Last revised: September 2026.
Platform Scope & Permitted Use
iPulsey ERP is an enterprise management platform engineered exclusively for commercial business centers, serviced offices, co-working facilities, and workspace operators across the UAE.
- Permitted Use: Managing office inventory, customer KYC records, tenancy contracts, payment vouchers, receipt vouchers, expenses, and document expiry tracking.
- Prohibited Actions: Reverse engineering, attempting unauthorized privilege escalation, bypassing the 2FA Delete Gate, or utilizing the platform for unlicensed activities under UAE law.
- Role Access Restrictions: System Admin (Role 1), Super Admin (Role 2), and Operations Manager (Role 7) access permissions are strictly enforced by the platform's RBAC matrix.
E-Signature Validity (UAE Decree-Law No. 46 of 2021)
Under UAE Federal Decree-Law No. 46 of 2021 on Electronic Transactions and Trust Services, electronic signatures generated within iPulsey ERP hold full legal validity and enforceability in UAE civil and commercial proceedings:
Tenancy Leases & Quotations
In-app digital signatures executed on tenancy agreements, payment vouchers, and proposals generate an immutable cryptographic timestamp and user ID footprint.
Non-Repudiation
Signatories confirm that electronic execution carries the identical legal effect of a physical handwritten signature in commercial transactions.
Tax Invoicing & FTA 5% VAT Governance
iPulsey ERP generates tax invoices, credit notes, and receipts compliant with UAE Federal Decree-Law No. 8 of 2017 on Value Added Tax:
- TRN Verification: Business Center operators are responsible for ensuring their 15-digit TRN and tenant TRN data are entered accurately.
- Sequential Numbering: Invoices generated through the platform follow strict sequential numbering protocols to preserve tax audit integrity.
- Tax Calculation: 5% standard VAT is calculated per line item and summarized in accordance with FTA regulations.
Post-Dated Cheques (PDC) & Accounting Disclaimers
iPulsey ERP facilitates PDC installment scheduling, cheque maturity tracking, and deposit statuses. However:
Operational Disclaimer: iPulsey ERP is a specialized Business Center & Workspace Operations ERP. While it provides rigorous financial ledger tracking and VAT invoices, it does not hold banking fiduciary custody. Business Center operators remain legally responsible for physical cheque presentation and bank clearance.
Security Standards & 2FA Enforcement
Users agree to maintain secure credentials and adhere to platform security mandates:
- MFA Authenticator: All administrative users must configure Google Authenticator TOTP for secondary authentication.
- 2FA Delete Gate: Destructive operations (purging tenancy records, voiding invoices, deleting tenant profiles) strictly require dynamic TOTP authorization.
- Session Security: Automated session expiration guards against unauthorized terminal access.

07. Governing Law & Jurisdiction
This Agreement shall be governed by, construed, and enforced in accordance with the federal laws of the United Arab Emirates and the local laws of the Emirate of Dubai. Any legal dispute, controversy, or claim arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the competent courts of Dubai (or the Dubai International Financial Centre Courts where applicable).
